Welcome to RECOIL Network. These Terms of Use ("Terms") govern your access to and use of the websites located at recoilnetwork.com, admin.recoilnetwork.com, and any related subdomains (collectively, the "Site"), and all services offered by CMG West, LLC ("RECOIL Network," "we," "us," or "our") through the Site, including our programmatic advertising platform (the "Service"). By accessing or using the Site or Service, you agree to be bound by these Terms. If you do not agree, do not use the Site or Service.
1. General Use and License
Subject to these Terms, RECOIL Network grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Service for your lawful business purposes. You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit or make available to any third party the Service in any way.
You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or your organization to use the Service. By accessing the Site, you represent and warrant that you meet these requirements.
2. Advertiser Accounts
Access to the RECOIL Network advertising platform requires registration and approval of an advertiser account. When registering, you agree to:

Provide accurate, current, and complete information
Account Maintenance
Maintain and promptly update your account information
Credential Security
Safeguard your login credentials and not share access with unauthorized parties
Account Responsibility
Accept responsibility for all activity that occurs under your account
RECOIL Network reserves the right to approve, decline, suspend, or terminate any advertiser account at any time in its sole discretion.
3. Intellectual Property
3.1 RECOIL Network Content
All content on the Site, including text, graphics, logos, images, software, and the RECOIL Network name and trademarks, is owned by or licensed to CMG West, LLC. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent.
3.2 Your Content
You retain ownership of all advertising creatives, campaign materials, and other content you submit to the RECOIL Network platform ("Advertiser Content"). By submitting Advertiser Content, you grant RECOIL Network a non-exclusive, worldwide, royalty-free license to use, host, store, display, transmit, and distribute such content solely for the purpose of providing the Service.
You represent and warrant that you own or have the necessary rights to all Advertiser Content, and that such content does not infringe any third-party intellectual property, privacy, or other rights.
3.3 DMCA Notice
If you believe that content on the Site infringes your copyright, please send a DMCA notice to: legal@recoilnetwork.com with the following information:
- An electronic or physical signature of the person authorized to act on behalf of the copyright owner
- A description of the copyrighted work claimed to have been infringed
- The URL or location of the allegedly infringing material
- Your contact information (address, phone, email)
- A statement that you have a good faith belief the use is not authorized
- A statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized agent
4. Acceptable Use
You agree to use the Site and Service only for lawful purposes and in compliance with all applicable federal, state, and local laws. You shall not:
• Submit advertising content that is false, misleading, deceptive, obscene, defamatory, harassing, or discriminatory
• Advertise products or services that are illegal in the jurisdictions being targeted
• Submit content that promotes or facilitates violence, terrorism, or illegal activity
• Attempt to gain unauthorized access to any part of the Site, the admin portal, or related systems
• Use any robot, spider, scraper, or automated means to access the Site without written permission
• Introduce malware, viruses, or other malicious code into the platform
• Engage in click fraud, impression fraud, or any manipulation of traffic metrics
• Interfere with or disrupt the integrity or performance of the Service
• Circumvent any technical measures used to protect the Site or platform
• Violate any third party's intellectual property, privacy, or other legal rights
5. Advertising Content Standards
All advertising content submitted to the RECOIL Network must comply with our Advertising Guidelines, which are incorporated herein by reference and may be updated from time to time. RECOIL Network reserves the right in its sole discretion to refuse, remove, or suspend any advertising campaign or creative that violates these guidelines, these Terms, or any applicable law.
Advertisers are solely responsible for ensuring that their advertising complies with all applicable laws and regulations, including required disclosures and age-gating requirements, in all jurisdictions where the advertising is displayed.
6. Privacy and Cookies
Your Privacy Matters
Your use of the Site and Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our data collection and use practices as described in the Privacy Policy.
What This Means
The Privacy Policy is a binding part of these Terms. Please review it carefully to understand how RECOIL Network collects, uses, and protects your information when you access the Site and Service.
7. Disclaimer of Warranties
THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, RECOIL NETWORK AND CMG WEST, LLC EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. RECOIL NETWORK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RECOIL NETWORK, CMG WEST, LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE OR SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL RECOIL NETWORK'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (I) THE TOTAL FEES PAID BY YOU TO RECOIL NETWORK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) $1,000. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; THOSE LIMITATIONS MAY NOT APPLY TO YOU.
9. Indemnification
You agree to indemnify, defend, and hold harmless RECOIL Network, CMG West, LLC, and their respective affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the Site or Service; (ii) your violation of these Terms; (iii) your Advertiser Content; or (iv) your violation of any applicable law or third-party rights.
10. No Refund Policy
ALL FEES PAID TO RECOIL NETWORK ARE NON-REFUNDABLE.
This includes, without limitation, setup fees, monthly platform fees, campaign budgets, and any other charges incurred in connection with the Service. By using the Service, you acknowledge and agree that RECOIL Network has no obligation to issue refunds under any circumstances, including but not limited to campaign underperformance, advertiser dissatisfaction, or early cancellation of campaigns or accounts.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Service shall be resolved exclusively in the state or federal courts located in Outagamie County, Wisconsin. You hereby irrevocably consent to the personal jurisdiction of those courts.
Any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred.
12. Termination
RECOIL Network may, in its sole discretion, suspend or terminate your access to the Site and Service at any time, for any reason or no reason, with or without notice. You may discontinue use of the Service at any time by providing written notice in accordance with the Advertiser Agreement.
Sections 3, 7, 8, 9, 10, and 11 of these Terms shall survive any termination.
13. Miscellaneous
Entire Agreement — These Terms, together with the Privacy Policy and any executed Advertiser Agreement, constitute the entire agreement between you and RECOIL Network regarding your use of the Site and Service.
Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver — Failure by RECOIL Network to enforce any right under these Terms shall not constitute a waiver of that right.
Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. RECOIL Network may assign its rights without restriction.
Third-Party Sites — RECOIL Network is not responsible for third-party websites linked from the Site. Links do not imply endorsement.
